In accordance with relevant national laws and regulations, on the principle of equality, voluntariness, fairness and impartiality, both parties have reached an agreement through negotiation to conclude this Contract regarding Party A's commissioning of Party B for fursuit production. The specific terms are as follows:
I. Commissioned Items
1.Party A shall provide Party B with the character design sheet of the fursuit to be commissioned, and Party B shall conduct refined design and production of the fursuit based on the design sheet;

II. Fees and Payment Methods
1.Total Fee: The total fee for the commissioned items is RMB __________ (in words: RMB __________). If there is any adjustment to the commissioned items, a supplementary agreement shall be signed with Party B, and the price shall be negotiated separately.
2.Payment Methods
·First Payment: Upon signing this Contract, Party A shall pay 30% of the total fee as a deposit;
·Second Payment: When Party A confirms and finalizes the sample book provided by Party B, Party A shall pay 30% of the total fee as the mid-term payment;
·Third Payment: After Party A accepts all finished products, Party A shall settle all remaining fees. Party B shall ship the products within 7 natural days after the full payment is received.
3.Payment Platforms
·Mainland China: Alipay and WeChat Pay are supported;
·Other regions: Alipay and PayPal transfers are accepted.
·If paying via Huabei or credit card, Party A shall bear the payment processing fee. If paying via PayPal, Party A shall bear the PayPal platform handling fee.
III. Commission Status and Service Process
1.After Party B receives the deposit paid by Party A, Party A's commissioned items will be officially added to Party B's commission list;
2.Design Phase:
2.1Party A shall put forward requirements to Party B from ______ year ______ month ______ day to ______ year ______ month ______ day, including but not limited to the final character design sheet (no further modifications allowed), preferred head style, preferred body style, desired overall effect, additional accessories to be added, special design elements requiring extra attention, and material requirements. Party A shall pay the mid-term payment at this stage. All supplementary requests hereafter shall be deemed new commissions, subject to additional fees based on the studio's quotation. The studio reserves the right to refuse any new commission additions. Should both parties fail to reach an agreement at this stage, Party B shall refund 25% of the total commission fee and terminate the contract.;
2.2Due to the particularity of converting 2D designs to physical products, Party B will communicate with Party A to develop the most suitable physicalization plan and the best plan for Party A (hereinafter referred to as the "Plan"). During this process, the price may be adjusted through communication with Party A. If additional commissioned items are added, a supplementary agreement shall be signed with Party B, and the price shall be negotiated separately;
2.3After reaching a consensus through communication, Party B will revise the character design based on the agreed Plan and Party B's production preferences. Party A shall not be entitled to free modifications to the Plan thereafter;
2.4Party A may conduct free body measurements at Party B's location from ______ year ______ month ______ day to ______ year ______ month ______ day. If unable to conduct on-site measurements, Party A shall provide accurate body data from ______ year ______ month ______ day to ______ year ______ month ______ day, and there is no need to provide a duct tape dummy (DTD). Party A shall take measurements in accordance with Party B's "Body Measurement Tutorial Video" and "Body Measurement Instruction Chart". For high data accuracy, measurements must be assisted by others using a tape measure; self-measurement is not allowed. If the finished commissioned product is ill-fitting due to incorrect data provided by Party A, Party B has the right to refuse free modifications;
2.5Party B shall provide the preliminary draft of the revised character design (hereinafter referred to as the "Preliminary Draft") to Party A by ______ year ______ month ______ day. Party A is entitled to up to 5 free modifications that are consistent with the previously agreed Plan. If both parties fail to reach a consensus at this stage, Party B will refund 25% of the total commission fee and terminate this Contract;
2.6After the Preliminary Draft is revised and confirmed, it shall be the final fursuit design sheet (hereinafter referred to as the "Final Design Sheet"). Party A shall not be entitled to any free modifications to the Final Design Sheet thereafter. If both parties fail to reach a consensus at this stage, Party B will refund 20% of the total commission fee and terminate this Contract;
2.7After Party A pays the mid-term payment, Party B will confirm the fur fabric brand and color to be used for the commissioned items with Party A by sending photos via the communication platform. Party A may request Party B to mail fur fabric swatches for confirmation, but shall bear the shipping cost for the swatches. Party A is not allowed to provide their own fur fabric. After both parties reach a consensus on the fur fabric selection, Party A shall not be entitled to free modifications to the fur fabric brand and color, and Party B shall not be liable for fur fabric color deviation or quality issues. If both parties fail to reach a consensus at this stage, Party B will refund 20% of the total commission fee and terminate this Contract;
2.8Party B will produce a sample book based on the Final Design Sheet and the confirmed fur fabric, and communicate with Party A on subsequent production in accordance with the sample book.
3.Production Phase:
3.1Party B shall deliver the commissioned items to Party A within ______ working days after the sample book is shipped. However, due to the variability of customized products, there may be a margin of error of 100 natural days in the production cycle. Party B will actively communicate with Party A on the progress and the reasons for any delay, and Party A agrees to accept such circumstances. If the delay exceeds 100 natural days due to Party B's reasons, Party B shall pay Party A 2% of the total commission fee as compensation for each month of delay (less than one month shall be counted as one month), with the maximum compensation not exceeding 10% of the total fee. If the delay is caused by reasons not attributable to Party B, the transaction period shall be extended accordingly, and Party B shall not bear any liability;
3.2Party B will first conduct 3D body modeling using software based on the data provided by Party A, then perform fursuit shaping in accordance with the sample book on the basis of Party A's body model, and confirm the pattern through communication with Party A. For any part of the body, once Party A confirms the pattern, no free modifications to the pattern of that part shall be allowed;
3.3Eye blanks and other accessories will be separately patterned or modeled, and Party A is entitled to up to 3 free modifications that are consistent with the previously agreed Plan;
3.4During the production process, Party B will provide irregular progress updates to Party A. Party A may inquire about the progress at most once every 10 working days;
3.5If Party A wishes to modify the confirmed Plan or finished products during the production process and fails to reach a consensus with Party B, Party B may refuse the modification, or Party B will refund 15% of the total commission fee and terminate this Contract, and shall have the right to modify the produced parts and resell them as drop items of the InfiniteC Series;
3.6If Party A unilaterally terminates this Contract without just cause during the production process, all payments already made by Party A shall not be refunded, and Party B shall have the right to modify the produced parts and resell them as drop items of the InfiniteC Series;
3.7If Party A adds additional accessories during the production process, the production cycle shall be recalculated and a new contract shall be signed;
4.Acceptance Phase:
4.1 After the production is completed, Party B will contact Party A for acceptance. Acceptance shall be conducted in two forms: online inspection and on-site inspection. Party A may choose the most suitable method:
4.1.1Online Inspection Party B will send detailed photos and overall appearance photos of the finished product to Party A via the communication platform for confirmation. After confirmation, Party B will prepare for photography and display. After photography, the product will be shipped. Party A shall feedback any issues within 7 natural days after receiving the finished product, which shall be handled in accordance with the terms of the after-sales phase below. Failure to provide feedback shall be deemed the end of this cooperation;
4.1.2On-site Inspection Party A may visit Party B's location for fitting and inspection. After confirmation, Party B will conduct photography and display. The commissioned finished product may be taken away directly after photography, and this shall be deemed the end of this cooperation;
5.Party B will wear the finished fursuit for photography and display. The photography and display shall be conducted in accordance with Party B's preferred method by default. Party A may put forward suggestions, and Party B shall have the final decision on the presentation plan;
6.After-sales Phase:
6.1For online inspection, Party B will only ship the product after Party A confirms that the fursuit is free of issues during the acceptance phase. For on-site inspection, Party A may only take away the commissioned finished product after confirming that it is free of issues during the acceptance phase. Any issues found at the above stages caused by Party B's negligence shall be promptly repaired by Party B, and such repairs shall be given priority over other commissions;
6.2Party A shall record an unboxing video upon receiving the express delivery. Party B shall record a pre-shipment product condition video when shipping the product to distinguish between courier liability and Party B's liability. If Party A provides an unboxing video proving that the damage was caused by Party B rather than the courier, Party B shall provide free repairs and reimburse the round-trip shipping costs. If the damage to the commissioned finished product is caused by courier transportation, Party B shall not be liable for free repairs. If Party A wishes to send the product back for repairs, they shall bear the round-trip shipping costs and repair fees. Party A may claim compensation from the courier company, and Party B shall provide assistance;
6.3Party B will provide free repair services for one year after Party A confirms receipt and the cooperation ends (limited to wear and tear under normal usage conditions). The round-trip shipping costs shall be borne by Party A;
6.4For damage to the commissioned finished product caused by improper storage or use by Party A, seam separation or glue failure occurring more than one year after Party A confirms receipt and the cooperation ends, or wear and tear under normal usage conditions, Party B may decide whether to provide repairs at its discretion. If repairs are approved, Party A shall pay for the repairs and the round-trip shipping costs;
6.5If Party A engages a third party to modify or repair the commissioned fursuit product without Party B's written consent, and the product malfunctions due to such third-party modification or repair, Party B shall refuse to provide repairs;
6.6For minor issues, Party B will guide Party A to make self-repairs. If self-repair is not feasible, Party B will conduct repair approval based on the specific situation;
7.Shipping
7.1For Mainland China: SF Express Standard (freight collect) shall be used. Party A shall bear the shipping cost and shipping insurance (insured value: RMB 2000). Any request to change the courier shall be notified before shipment;
7.2For regions outside Mainland China: MONDAY-LOG shall be responsible for packaging, export declaration and courier selection. The fastest commercial courier (e.g., FedEx) shall be used by default. Party A shall bear the shipping cost, customs clearance in the importing region, and customs duties (if applicable);
8.Party B does not provide any cleaning or expedited services.
IV. Copyright
After the commissioned finished product is completed and delivered to Party A, Party A shall only enjoy the ownership of the commissioned finished product. If any information provided by Party A infringes upon the rights and interests of third parties, Party A shall independently bear all legal liabilities arising therefrom. If Party B suffers losses due to such infringement, Party A shall compensate Party B.
V. Rights and Obligations of Both Parties
1.Rights and Obligations of Party A
1.1Party A shall be at least 18 years old;
1.2Party A has the right to put forward modification suggestions for the works designed by Party B;
1.3Party A shall timely and fully pay the relevant fees in accordance with the provisions of this Contract;
1.4Party A has the obligation to assist Party B and provide relevant materials for Party B's design work;
1.5Unless explicitly agreed by Party B, Party A shall be obligated to keep confidential all photos, videos, documents and Party B's information sent by Party B indefinitely;
1.6Party A has the obligation to carefully confirm all confirmation information sent by Party B and provide confirmation within 2 natural days after each confirmation information is sent to ensure the smooth progress of the process. After confirmation by Party A, Party A shall not require Party B to conduct free rework or modifications;
1.7Party A has the right to actively request to add additional commission items, but shall not reduce the commissioned items;
1.8Party A has the obligation to ensure the accuracy of the provided data and acknowledge that inaccurate data may result in Party B's failure to complete the commission as Party A intended;
2.Rights and Obligations of Party B
2.1Party B has the right to require Party A to provide necessary materials for the design work;
2.2Party B has the right to require Party A to timely and fully pay the relevant fees in accordance with the provisions of this Contract;
2.3Before Party A pays all the fees, Party B has the right to require Party A not to use the design work;
2.4Party B shall deliver the phased works and commissioned finished products on time in accordance with the provisions of this Contract;
2.5Party B has the obligation to send confirmation information for each step to Party A;
2.6Party B shall not be liable for losses caused by shipping issues, but has the obligation to purchase insured and insurance products during the shipping process at Party A's request. The additional costs incurred shall be borne by Party A;
2.7Party B has the obligation to keep confidential the Party A's data obtained and assist Party A in correctly filling in the data;
2.8Unless explicitly agreed by Party A, Party B shall be obligated to keep Party A's identity information confidential indefinitely.
VI. Liability for Breach of Contract
1.Both parties are obligated to fully perform this Contract in accordance with the agreements. If one party breaches the provisions of this Contract, it shall bear the liability for breach of contract and compensate the other party for all losses caused by the breach;
2.If Party A commits any of the following acts, Party B has the right to take the initiative to terminate the cooperation and shall not refund any fees already paid by Party A:
2.1Failure to pay any installment of the fee within 30 natural days;
2.2Failure to communicate in the manner specified in this Contract or pre-negotiated, or failure to reply to Party B's information for more than 30 natural days without notifying Party B;
2.3Requesting the final product to be free of defects that cannot be eliminated with Party B's current technical capabilities or requiring certain parts of the final product to meet standards beyond Party B's technical capabilities, and insisting on such requests after Party B's prior explanation;
2.4Infringing upon Party B's right of reputation without just cause after the Contract takes effect;
2.5Unilaterally terminating this Contract without just cause before the delivery of the sample book;
3.If Party A commits any of the following acts, Party B has the right to take the initiative to terminate the cooperation, refuse to refund any fees already paid by Party A, and refuse to provide any commissioned finished products or commission services to Party A at any time:
3.1Commissioning on behalf of others;
3.2Providing character design sheets or design references that infringe upon the intellectual property rights or other legitimate rights and interests of third parties;
3.3Using the commissioned finished product for illegal purposes;
3.4Providing character design sheets or design references that are AI-generated;
3.5Engaging in illegal acts;
3.6Being involved in indecent disputes;
3.7Disclosing documents, photos, videos, design drawings provided by Party B and infringing upon Party B's intellectual property rights;
4.Party A clearly acknowledges that the commissioned items under this Contract involve personal subjective aesthetic evaluation, and there may be inconsistencies in aesthetic standards. The drafts designed and commissioned items completed by Party B based on the explicit service requirements put forward by Party A shall be deemed the finished products. Party A shall not refuse to accept the delivery of the drafts or commissioned items or refuse to settle the fees due to subjective aesthetic evaluation reasons.
VII. Effectiveness of the Contract
This Contract shall take effect upon the date of signature and seal by both parties.
VIII. Other Provisions
1.This Contract is made in duplicate, with each party holding one copy, which shall have the same legal effect.
2.In case of any dispute, both parties shall resolve it through friendly negotiation. If the dispute cannot be resolved through negotiation, both parties agree to file a lawsuit with the people's court of the place where Party B is located.
